Overview
Created under the 2017 Tax Cuts and Jobs Act, the Qualified Opportunity Fund (QOF) program offers one of the most compelling tax-advantaged investment structures in current U.S. tax law. A QOF is an investment vehicle that deploys at least 90% of its assets into businesses and real estate located in designated Qualified Opportunity Zones — communities identified for economic development. For investors, the program offers three potential benefits: deferral of capital gains taxes on rolled-over gains, a step-up in basis on the deferred gain for longer holds, and complete elimination of federal taxes on appreciation of the QOF investment itself when held for at least ten years. At IME Capital Trust LLC, we help clients evaluate whether QOF investing aligns with their broader wealth, trust, and estate planning strategies, and we coordinate the process with licensed tax and legal professionals.
Our Process
Strategy Consultation — We review your recently realized or anticipated capital gains, overall wealth strategy, and whether QOF investing aligns with your objectives.
Tax Analysis Coordination — We coordinate with licensed tax professionals to evaluate deferral timelines, basis step-ups, and the 10-year exclusion against your situation.
Fund Diligence Organization — We help organize documentation and coordinate due diligence on Qualified Opportunity Funds, including their asset classes, track record, and zone investments.
Wealth Integration — Where appropriate, we coordinate your QOF investment with trusts, business entities, estate planning, and asset protection structures.
Ongoing Reviews — We provide periodic reviews to help ensure your QOF strategy continues to support your long-term wealth and legacy goals.

How It Works
The QOF program allows taxpayers who realize a capital gain — from real estate, a business sale, stocks, crypto, or other appreciated assets — to invest that gain into a Qualified Opportunity Fund within 180 days and receive three tiers of potential tax treatment under current law:
Deferral of the original capital gain until the earlier of the QOF sale or December 31, 2026
10% reduction of the taxable deferred gain after a 5-year hold
15% total reduction of the taxable deferred gain after a 7-year hold
Zero federal tax on appreciation of the QOF investment after a 10-year hold
Elimination of taxes on gains from real estate, business sales, or other appreciated assets
Combination with 1031 exchanges or trust structures where appropriate
Alignment with charitable and legacy planning objectives
The three-tier benefit structure applies to federal capital gains taxes under current law. State tax treatment varies, and program timelines and requirements are governed by IRS Sections 1400Z-1 and 1400Z-2. Eligibility and suitability depend on each client's individual circumstances.
